OFFICIAL RULES FOR THE ARKETA SUMMER RETREAT GIVEAWAY

1. SPONSOR
‍This sweepstakes (the "Giveaway") is sponsored by Sutra Fitness, Inc. ("Arketa"), located at 2 East 28th Street PMB 141New York, NY 10016.

‍2. ELIGIBILITY
‍This Giveaway is open to legal residents of the United States who meet all of the following criteria:
- Must be a fitness studio, wellness studio, or gym owner with at least staff members in the United States.
- Must be at least 18 years of age at the time of entry.
- Must sign up for and go live with Arketa software under a minimum 1-year contract for a Studio plan, not a Pro plan or individual plan.
- Must use Arketa Payment Processing for all payment transactions.
- This promotion cannot be combined with any other discount.
- Existing Arketa customers may enter by renewing their contract for 2 year and paying upfront.
- Employees, officers, and directors of Arketa and their immediate family members are not eligible.

‍3. GIVEAWAY PERIOD
‍The Giveaway begins on July 1, 2025, at 12:00 AM PT and will end on August 31, 2025, at 11:59 PM PT.
- The winner will be selected and announced via Email.
- The winner will be contacted by email, phone and must respond within 5 business days to claim their prize.
- If the winner fails to claim their prize within the specified timeframe, an alternate winner may be selected.

‍4. HOW TO ENTER
(a) Paid Entry Method: Eligible participants will be automatically entered into the Giveaway upon:

- Signing a 1-year contract (or renewing an existing contract for 2-year) for an Arketa Studio plan at full price.
- Paying for the full year upfront for new sign ups, and for 2 years upfront for existing customers.
- Using Arketa Payment Processing.
- Studio Contract customers will receive 1 entry.

(b) Alternative Free Entry Method (AMOE): To comply with sweepstakes laws, a free alternative entry method is available. To enter without purchasing Arketa, participants must:

- Submit a handwritten 30,000-word essay on "How studio management software like Arketa is transforming the fitness industry and improving client experiences”.
- Use of AI, including ChatGPT or any AI-generated content, is strictly prohibited. Essays must be original and solely written by the entrant.
- Essays must be handwritten, legible, and mailed via certified mail with return receipt requested to Sutra Fitness, Inc. ("Arketa"), located at 2 East 28th Street PMB 141New York, NY 10016.
- The submission must include a notarized letter confirming the entrant is a fitness studio, wellness studio, or gym owner, containing:

- Full name, studio or gym name, address, and EIN.
- A statement of eligibility affirming compliance with all official rules.

- Mail-in entrants may submit one entry for 1 chance.
- Mail-in entries must be postmarked by August 29th, 2025, and received by September 1st, 2026.
- PO Boxes are not allowed. Only physical business addresses will be accepted.
- Incomplete, illegible, AI-generated, or non-notarized entries will be automatically disqualified.

5. PRIZE
- One (1) Grand Prize: A beach retreat, for 6 staff members of your fitness studio, wellness studio, or gym, including flights from the U.S. or Canada, 3 nights stay at a beach hotel / resort, and a $85 per diem per staff member.
- Insurance, registration, and taxes are the responsibility of the winner.
- Winner cannot sell or transfer the Beach Retreat.
- The prize is non-transferable and cannot be exchanged for another prize.

‍6. CONTRACTUAL OBLIGATIONS & FORFEITURE
- If the winner cancels their Arketa contract before completing 1 year, they must repay the full Beach Retreat value in a lump sum.
- If the winner’s business closes, they are still responsible for repayment.
- The winner must actively use Arketa software and payment processing throughout the contract period.

‍7. MARKETING & PUBLICITY REQUIREMENTS
- The winner must post on social media (Instagram) about Arketa at least once per quarter during the contract period.
- The winner must participate in a case study on how Arketa benefits their practice.
- The winner must allow Arketa to use their name, practice, and likeness in marketing materials.
- Arketa may record and publicize the Beach Retreat, having a staff member at the retreat to capture content.

‍8. TAX OBLIGATIONS
- The winner is responsible for all federal, state, and local taxes associated with the prize.
- Arketa will issue a 1099-MISC tax form reflecting the prize’s fair market value.
- Arketa will not cover any taxes related to the prize.

‍9. DISQUALIFICATION & FRAUD PREVENTION
- If the winner fails to fulfill their Arketa contract obligations, they must repay the full Beach Retreat value.
- If Arketa determines that a participant has attempted to manipulate the Giveaway, their entry will be disqualified.
- Multiple entries per fitness studio, wellness studio, or gym are not allowed.

‍10. LIMITATION OF LIABILITYBy entering, participants agree that Arketa and its affiliates are not responsible for:
- Technical issues, lost mail-in entries, or data loss.
- Injuries, losses, or damages from participating or using the prize.
- Any third-party claims related to the flights, hotel or its use.

‍11. GENERAL CONDITIONS
- In the event of cancellation, modification, or suspension, Sponsor(Arketa) reserves the right to select winners in a random drawing from among all eligible, non-suspect Entries received prior to the time of the event warranting such cancellation, modification, or suspension. Notice of such cancellation, modification, or suspension will be posted on the Sponsor’s website at Sponsor’s discretion. Sponsor may prohibit any Entrant or potential entrant from participating in the Sweepstakes, if such Entrant or potential entrant shows a disregard for these Official Rules; acts with an intent to annoy, abuse, threaten, or harass any other Entrant, Sponsor, or Sponsor’s agents or representatives; or behaves in any other disruptive manner (as determined by Sponsor in its sole discretion). Sponsor reserves the right to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Sweepstakes.
- The Giveaway is subject to all applicable federal and state laws.
- By participating, entrants agree to these Official Rules.
